1. Agreement to Terms & Corporate Entity
These Terms & Conditions constitute a legally binding agreement between you or the organization you represent (“Client”, “you”) and Automasters Solutions LLC (“Company”, “we”, “us”), an active limited liability company registered in the State of Wyoming, USA (Entity / Filing ID: 2026-002040805), with our registered office at 1309 Coffeen Ave Ste 1200, Sheridan, WY 82801, USA.
By executing a Statement of Work (“SOW”), submitting a project deposit, paying an invoice, or utilizing the services on https://automasterssolutions.com, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Scope of Services & Statements of Work
The Company provides digital services including, but not limited to, web engineering, custom software development, business and workflow automation, ethical YouTube content operations, search engine optimization (SEO), and paid advertising management.
Specific project deliverables, timelines, milestone schedules, and fees shall be defined in an approved Statement of Work, formal invoice, or signed proposal. Any alterations or additions to the scope of work must be agreed upon in writing via an executed change order and may incur additional fees.
3. Payment Terms, Deposits & Milestones
- Project Deposits: Unless expressly specified otherwise in a Statement of Work, a non-refundable deposit of fifty percent (50%) of the total project fee is required prior to project kickoff, discovery, and sprint allocation.
- Milestone Payments: Remaining project balances are tied to milestone deliverables or final staging approval, due before source code repository handover or live production deployment.
- Recurring Retainers: Monthly ongoing services (e.g., YouTube operations, SEO maintenance, or ad management) are billed monthly in advance on the 1st day of each billing cycle.
- Invoicing & Late Fees: Invoices are due upon receipt. Balances unpaid after thirty (30) calendar days may be subject to a late fee of 1.5% per month or the maximum allowable by Wyoming law.
4. Third-Party Pass-Through Expenses
All direct third-party expenses incurred in connection with the project—including, but not limited to, domain registrations, web hosting services (such as Hostinger), software subscriptions, API usage fees, font licenses, and direct advertising spend paid to platforms like Google Ads or Meta Ads—are the sole financial responsibility of the Client. These expenses are billed directly to the Client's own payment method and are strictly non-refundable by Automasters Solutions LLC.
5. Client Responsibilities & Materials
The Client agrees to supply all necessary digital assets, brand guidelines, credentials, copy, and timely feedback required for project execution. The Client warrants that all text, imagery, logos, trademarks, and multimedia assets supplied to Automasters Solutions LLC are owned by the Client or that the Client possesses all necessary commercial licenses. The Client indemnifies Automasters Solutions LLC against any third-party copyright or trademark infringement claims resulting from client-supplied assets.
6. Intellectual Property & Code Ownership
Upon full and final payment of all agreed project fees and invoices, Automasters Solutions LLC transfers all right, title, and interest in the custom deliverables, bespoke code, and design assets created specifically for the Client under the applicable Statement of Work.
Automasters Solutions LLC retains ownership of all pre-existing tools, open-source libraries, proprietary frameworks, workflow blueprints, and general methodologies utilized during development.
7. Revisions & Acceptance Testing
Each fixed-scope deliverable includes the number of revision rounds explicitly specified in the project proposal (typically 2 to 3 revision cycles). Revisions must align strictly with the original project scope. Substantial structural changes, feature additions, or redesigns requested after milestone sign-off shall be quoted separately as out-of-scope change orders.
8. Disclaimers of Warranties & No Guaranteed Results
Services are provided on an “as-is” and “as-available” basis. Automasters Solutions LLC makes no warranties or representations that:
- Search engine optimization (SEO) will yield a specific Google search ranking position.
- Paid advertising campaigns will generate a specific return on ad spend (ROAS), sales volume, or conversion rate.
- YouTube content production will result in a specific number of views, subscribers, or monetization approval.
Search rankings, audience behavior, and platform policies are governed by independent third-party algorithms beyond our control.
9. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Automasters Solutions LLC, its members, officers, contractors, or agents be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of profits, data, goodwill, or business interruption) arising out of or in connection with the services provided.
The total aggregate liability of Automasters Solutions LLC arising out of or related to any project engagement shall not exceed the total amount actually paid by the Client to the Company for the specific service giving rise to the claim during the three (3) months preceding the event.
10. Governing Law & Dispute Resolution
These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the internal laws of the State of Wyoming, United States, without giving effect to any choice or conflict of law provision. The parties agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Sheridan County, Wyoming.
